Terms of Service

1. Acceptance of Terms

By accessing or using the GrowthWedge website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and GrowthWedge ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

GrowthWedge provides consulting and optimization services for SaaS businesses, including but not limited to:

• Funnel and conversion diagnostics
• Pricing page optimization
• AI-led insights and optimization
• Growth strategy consulting

3. Client Responsibilities

As a client of GrowthWedge, you agree to:

• Provide accurate and complete information when requesting our services
• Cooperate with our team and provide necessary access to data and systems as required
• Use our recommendations and deliverables in compliance with all applicable laws
• Maintain the confidentiality of any proprietary methodologies shared with you
• Pay all fees as agreed upon in your service agreement

4. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of GrowthWedge and is protected by intellectual property laws.

Our IP: Methodologies, frameworks, and proprietary tools developed by GrowthWedge remain our exclusive property.

Deliverables: Upon full payment, clients receive a license to use deliverables created specifically for their project. This license is non-exclusive and non-transferable unless otherwise specified in writing.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes:

• Business strategies and plans
• Financial data and metrics
• Customer information
• Technical specifications and systems access

Confidentiality obligations survive the termination of services for a period of two (2) years.

6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 14 days of receipt unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• Refunds are handled on a case-by-case basis as outlined in your service agreement

7. Limitation of Liability

To the maximum extent permitted by law:

• GrowthWedge provides services "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid for the specific services giving rise to the claim
• We do not guarantee specific business outcomes or results

8. Indemnification

You agree to indemnify and hold harmless GrowthWedge, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate the service relationship:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 14 days notice
• Immediately if the other party becomes insolvent or enters bankruptcy

Upon termination, you must pay for all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Singapore.

11. Miscellaneous

• Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and GrowthWedge.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent.
